These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you") and MDW Digital LLC ("MDW," "we," "us," "our"), a company operating in Franklin, Tennessee, USA. By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding.

MDW Digital provides the following digital services to US-based businesses:
Custom website design, development, and deployment including landing pages and e-commerce stores.
Search engine optimization, Google Ads management, and performance marketing campaigns.
Content creation, community management, and paid social campaigns across major platforms.
Automated email sequences, newsletters, and campaign strategy for lead nurturing and retention.
Logo design, visual identity systems, brand guidelines, and creative asset development.
Monthly performance dashboards, conversion tracking setup, and growth reporting.
The specific scope, deliverables, and timeline for each project will be outlined in a separate Statement of Work (SOW) or project proposal. MDW Digital reserves the right to modify, discontinue, or add services at any time with notice to active clients.
All prices are quoted in US Dollars (USD). Project pricing is outlined in your proposal or SOW. Invoices are issued electronically and are due as follows:
For paid advertising campaigns (Google Ads, Meta Ads), the advertising budget is separate from MDW Digital's management fee. Clients are responsible for funding their ad accounts directly with the ad platforms.
No Refunds on Started Work: Once project work has commenced, deposits are non-refundable. Refunds are only available under our 90-Day Results Guarantee as described below.
To enable MDW Digital to deliver services effectively, clients agree to:
Upon receipt of final payment, MDW Digital assigns full ownership of custom deliverables (website code, logo designs, marketing copy) to the client. This includes all source files as specified in the SOW.
The following remain the exclusive property of MDW Digital:
Any licensed stock photos, fonts, plugins, or third-party software used in your project are subject to their respective license agreements. Clients are responsible for maintaining appropriate licenses for ongoing use after project handover.
Portfolio Rights: MDW Digital reserves the right to display completed work in our portfolio, website, and marketing materials unless otherwise agreed in writing.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project, including but not limited to:
This confidentiality obligation survives termination of the agreement and remains in effect for 3 years following project completion.
Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.
If MDW Digital fails to deliver agreed-upon results within 90 days of service commencement — as defined in your SOW — you are eligible for a full refund of management fees paid. This guarantee requires that clients have fulfilled all their obligations as outlined in Section 4 and have provided timely feedback and access throughout the project.
While we work diligently to achieve the best outcomes, MDW Digital does not guarantee specific rankings, leads, sales figures, or revenue outcomes beyond what is explicitly stated in the SOW, as digital marketing results depend on many factors outside our control (market conditions, competitor activity, ad platform algorithms, etc.).
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE US LAW: MDW Digital's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client in the 3 months preceding the claim.

Clients may terminate ongoing monthly services with 30 days' written notice. Fees for the notice period remain due. Deposits on project-based work are non-refundable after work has commenced.
We reserve the right to terminate services with 14 days' notice for any of the following reasons:
Upon termination, all completed deliverables (paid for in full) will be transferred to the client. MDW Digital retains the right to maintain copies for portfolio and compliance purposes. Access to third-party accounts managed by MDW on the client's behalf will be returned within 5 business days.
In the event of a dispute arising from these Terms or our services, both parties agree to attempt resolution through the following process:
Class Action Waiver: You agree to bring any claims against MDW Digital in your individual capacity only, and not as a plaintiff or class member in any class action proceeding.
These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict of law principles.
